Terms of service

Ace provides ACT test preparation, which may include a personalized study plan, lessons taught by Pax on a shared board by voice or text, practice questions, practice tests, a weekly progress email for a parent or guardian, and related content. A free diagnostic and the results discussion that follows it are available without payment. Most other features require a Season Pass (Section 7). We may add, change, or remove features over time (Section 13).

• You must be at least 13 years old to create an account or use the Service. By agreeing to these Terms you confirm that you are.
• If you are under 18 (or under the age of majority where you live), you may use the Service only with the permission of a parent or legal guardian, who must review and agree to these Terms and the Privacy Policy. By letting you use the Service, your parent or guardian agrees to these Terms for you and for themselves and is responsible for your use of the Service.
• Purchases must be made by an adult, or by a minor with the permission of a parent or guardian who accepts responsibility for the purchase.

• One account per person. Give accurate information and keep it up to date.
• Keep access to your sign-in method (your Google account or your email) secure. You are responsible for activity on your account. Tell us right away at support@aceactprep.com if you think someone else is using it.
• Your account and Season Pass are personal. Do not share, sell, or transfer them.

• Pax is automated. Pax's teaching, replies, explanations, feedback, voice, and board work are computer-generated by third-party language and speech systems. Pax is not a person.
• Pax can be wrong. Computer-generated content can be inaccurate, incomplete, or misleading, and a spoken answer can be misheard. Check anything important against a reliable source and use your own judgment. We do not promise that any content is accurate or complete.
• No score guarantee. We do not promise any score, score increase, admission, scholarship, or other result.
• Not a substitute for school or professional help. The Service is study help. It is not a school, does not grant credit, and is not academic, college admissions, medical, mental health, or legal advice. Pax is not a counselor and does not watch for emergencies. If you or someone else is in danger, contact local emergency services; in the United States you can call or text 988 to reach the Suicide and Crisis Lifeline.
• Practice content is unofficial. Our practice questions, tests, and score estimates are written and calculated by Ace. They are not official ACT materials and may not predict your actual ACT score.

Voice is optional. When you turn on your microphone in a voice lesson or demo, your voice is sent in real time to our voice and speech providers so Pax can understand and answer you, as described in Section 2 of the Privacy Policy. We never record the audio of a voice lesson. A text transcript and technical log of each session are kept for a limited time so the Ace team can fix problems, and our providers may keep limited data under their terms. By using your microphone you consent to this processing. You agree to use voice only where you are the only person speaking or where everyone who may be heard knows and agrees, and you agree not to record, stream, or publish a session that includes another person without their consent. Voice time is subject to usage limits, such as a maximum session length and a monthly allowance, and to available capacity.

You agree not to:

• Harass, threaten, or abuse Pax, other people, or the Ace team, or use the Service to create or share content that is illegal, hateful, sexual, violent, defamatory, or that infringes anyone else's rights.
• Try to make Pax reveal its instructions, prompts, configuration, or system details, or try to make Pax behave unsafely or outside its purpose (for example with prompt injection or jailbreak attempts).
• Scrape, crawl, or bulk download the Service or its content, or use bots or automated tools to access it.
• Reverse engineer, decompile, or try to extract the source code, models, or underlying methods of the Service, except where the law expressly allows it.
• Copy, sell, redistribute, publish, or make derivative works from lessons, passages, questions, explanations, or other content from the Service, or use the Service or its content to build or train a competing product or model.
• Probe, attack, overload, or disrupt the Service, get around its security, rate limits, usage limits, or access controls, or upload malicious code.
• Share your account, use someone else's account, impersonate anyone, or create accounts in bulk.
• Record other people without their consent (Section 5), or invite someone to parent reports who has not agreed to receive them.
• Break any law, or help anyone else break these rules.

We may monitor for compliance and take any action we reasonably think is appropriate, including removing content, limiting use, or suspending or closing accounts.

• Price. The Season Pass is a one-time payment of $249 USD. It is not a subscription. It does not auto-renew, and there is nothing to cancel.
• How long it lasts. Access runs until the test date on your profile at the time of purchase, plus 7 days, with a minimum of 60 days and a maximum of 300 days from purchase. If no valid future test date is set, access lasts 180 days. Your exact end date is shown at checkout. Changing your test date after purchase does not extend access.
• What it includes. Everything described on the pricing page at the time you buy, subject to the usage limits in Section 5. We may add to the Service, and we may retire features that are not working; we will not remove the core of what you paid for during your access period.
• Payment processing. Payments are handled by Stripe. We never receive or store your full card number. Your use of Stripe is subject to Stripe's own terms and privacy policy.
• No refunds. All sales are final and the Season Pass is non-refundable. This is why the diagnostic and the results discussion that follows it are free: you can see how the Service teaches, on your own weak areas, before you pay. Please use them before buying. Nothing in these Terms limits any refund or cancellation right you have under the consumer protection law where you live.
• Deleting your account ends any Season Pass on it, and the pass is not refunded.
• Chargebacks. If you dispute a payment with your bank or card issuer, we may suspend access while the dispute is open and end access if the payment is reversed.
• Taxes. Prices do not include any tax that may apply where you live.
• Price changes. We may change the price of the Season Pass. Changes apply to future purchases only, never to a pass you have already bought.
• Complimentary and organization access. We sometimes grant free or sponsored access, for example for testing, support, or a program run with a school or organization. That access can come with its own limits, can be withdrawn at any time, and has no refund value.

“Your Content” means what you put into the Service, for example messages and photos you send to Pax, what you say in voice sessions, your answers, and your work on the board. You keep ownership of Your Content. You give Ace a worldwide, royalty-free, non-exclusive license, which we may pass to our service providers, to host, store, copy, process, transmit, and display Your Content as needed to provide, secure, and improve the Service, as described in the Privacy Policy. This license ends when Your Content is deleted from our systems, except for copies we are allowed to keep under the Privacy Policy. You confirm that you have the right to share Your Content and that it does not violate anyone's rights. Do not share sensitive personal information (such as health, financial, or government ID details) with Pax.

The Service, including its software, design, trademarks, text, audio, lessons, passages, questions, explanations, and the output Pax produces for you, is owned by Ace or its licensors and protected by intellectual property laws. As long as you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial ACT preparation. All other rights are reserved. If you send us ideas or feedback, we may use them without any obligation to you.

Ace is not affiliated with, endorsed by, or sponsored by ACT, Inc. ACT® is a registered trademark of ACT, Inc. We refer to the ACT only to describe the test our Service helps you prepare for. Our practice materials are created independently and are not official ACT materials.

Our pages for schools and organizations, including the five-minute staff demo with Pax, are a preview of the Service for staff. The demo is computer-generated and can be wrong, like any session with Pax. Requesting or using a demo, or receiving a reply or a personal page from us, does not create a contract, partnership, pilot, or commitment by either side, and any prices, numbers, or plans mentioned are not offers. A partnership or pilot exists only under a separate written agreement signed by both sides. Unless that agreement says otherwise, Ace is not acting as a school official, and students use Ace under these Terms and the Privacy Policy as individual users. Do not use the demo to enter student information.

The Service relies on third-party providers for hosting, sign-in, payments, email, analytics, voice transport, speech, and language models. Your use of features they provide may also be subject to their terms, and we are not responsible for their services.

We may change, suspend, or stop any part of the Service at any time. We do not promise that the Service, or any feature such as voice lessons, will be available at any particular time, without interruption, or without errors, and voice lessons may be limited by capacity. If we plan to permanently shut down the Service during a paid access period, we will try to tell you in advance.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service, including Pax and all content, is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory. Ace disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. Ace does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be fixed, that computer-generated content will be accurate, or that the Service will improve your ACT score.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Ace and its owners, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or opportunities (including test scores or admissions outcomes), arising out of or relating to the Service or these Terms, under any legal theory, even if we were told such damages were possible.

Ace's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount you paid Ace in the 12 months before the event giving rise to the claim, or, if you paid nothing, fifty US dollars (US$50).

Some places do not allow some of these exclusions or limits, so they may not all apply to you. Nothing in these Terms limits liability that cannot be limited by law.

To the extent the law allows, you agree to defend, indemnify, and hold harmless Ace and its owners, employees, agents, and licensors from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, Your Content, your violation of these Terms, or your violation of any law or anyone else's rights.

• Talk to us first. Before filing any claim, you agree to email support@aceactprep.com with your name, contact details, and a description of the problem and the relief you want, and to try in good faith to resolve it with us for 60 days. We will do the same before bringing a claim against you.
• Arbitration. If we cannot resolve it, you and Ace agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration may be held by video, by phone, in writing, or in the county where you live. Fees are paid as the AAA consumer rules provide. The arbitrator decides all issues, except that a court decides whether the class action waiver below is enforceable.
• Exceptions. Either side may bring an individual claim in small claims court if it qualifies, and either side may go to court to stop infringement or misuse of intellectual property or unauthorized access to the Service.
• Class action and jury trial waiver. You and Ace may bring claims only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative action, and the arbitrator may award relief only to the individual party. You and Ace waive any right to a jury trial. If this waiver is found unenforceable for a claim, that claim must be heard in court, not in arbitration.
• Opting out. You can opt out of this arbitration agreement by emailing support@aceactprep.com within 30 days after you first agree to these Terms, with your name, the email on your account, and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
• Minors. If you are under 18, this section applies to you and to the parent or guardian who agreed to these Terms for you, to the extent the law allows.

These Terms are governed by the laws of the State of Washington, United States, and applicable federal law, without regard to conflict of laws rules. For any claim that is not arbitrated and is not in small claims court, you and Ace agree to the exclusive jurisdiction of the state and federal courts located in King County, Washington. If you live outside the United States, you may also have rights under the mandatory laws of where you live.

If you believe content on the Service infringes your copyright, send a notice to support@aceactprep.comthat includes your signature, a description of the work, where it appears on the Service, your contact details, a statement that you believe in good faith the use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner. We may remove the content and close the accounts of repeat infringers.

You can stop using the Service at any time and delete your account from Profile, then Delete account. We may suspend or close your account or limit your access if you break these Terms, if we must for legal or security reasons, or if your use creates risk or harm for others or for us. When your account ends, your license to use the Service ends. Sections 4, 8 through 10, and 14 through 22 continue to apply after your account ends.

We may update these Terms. If we make material changes, we will tell you by email or in the Service before they take effect and, where required, ask you to agree again. If you keep using the Service after changes take effect, you accept them. Changes do not apply to a dispute we already knew about before the change.

These Terms and the Privacy Policy are the entire agreement between you and Ace about the Service and replace any earlier agreements about it, except a separate written agreement signed by Ace (such as a partnership agreement), which controls where it conflicts. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver. You may not transfer these Terms without our written consent; we may transfer them in connection with a merger, acquisition, or sale of assets. Neither side is responsible for delays caused by events beyond its reasonable control. We may send you notices by email or in the Service.
